The AFFILIATE PROGRAM is designed for individuals who want to promote OVERcoat through social media, videos, blogs, and other content channels, helping grow the brand together with us. It is intended not only for people who enjoy car washing and automotive care, but also for content creators, influencers, and users who regularly share this kind of interest with their audience.

By becoming a member, you will be able to promote OVERcoat while enjoying exclusive affiliate benefits and conditions. Below, you will find the program terms and conditions. If you agree with the content, please proceed to the application form and fill in the required information. After submission, our team will review your application and contact you by email with the result and the next steps.

Welcome to OVERcoat JAPAN. Thank you sincerely for your interest in joining our Affiliate Program.

These Terms of Use govern participation in the OVERcoat JAPAN Affiliate Program. In these terms, "OVERcoat JAPAN" and "we" refer to the store operator, and "you" refer to the affiliate.

By applying for or participating in our Affiliate Program, you agree to these Terms of Use. If you do not agree with them, you may not participate in the program.

1. Application and Approval
All applications to the Affiliate Program are subject to review and approval by OVERcoat JAPAN.

To apply for the Affiliate Program, the applicant must have previously purchased an OVERcoat product and used it at least once.

We will comprehensively review the application content, the nature of the applicant's activities, compatibility with the brand, the quality of the applicant's communications, the applicant's past record, the accuracy and completeness of the information provided, and compliance with our policies.

We reserve the right, at our sole discretion, to approve or reject any application for any reason, including incompatibility with the brand, suspicious activity, incomplete or inaccurate information, prior policy violations, or any other circumstance we consider inappropriate.

Submission of an application does not guarantee acceptance or approval into the program.

2. Affiliate Links and Coupons
After approval, you will be provided with a dedicated affiliate link to promote OVERcoat JAPAN.

Under this program, the primary method of attribution is tracking through the approved affiliate link. Attribution through coupons may be allowed only in limited cases or specific campaigns expressly approved by OVERcoat JAPAN, but it is not permanently available and is not the main attribution method.

If OVERcoat JAPAN exceptionally grants a coupon to the affiliate, its scope, rules, and usage conditions will be announced in the affiliate dashboard or in the official program materials.

Unless expressly authorized by OVERcoat JAPAN, no coupon may be published, distributed, or presented as if it belonged to the affiliate.

Commission attribution will be determined by our tracking system and its settings, including the cookie period, attribution rules, and other applicable criteria.

3. Commission Eligibility
The affiliate may receive commissions for eligible purchases that are properly attributed in the manner set forth in Section 2 and tracked in accordance with our system settings. Where coupon attribution is permitted, the conditions will follow Section 2.

The standard affiliate commission is 10% of the product base price excluding tax. The final commission amount may be rounded to the nearest whole yen.

The applicable commission rate may be communicated through the affiliate dashboard, the approval email, or official communications from OVERcoat JAPAN, and may vary depending on the product, campaign, promotional period, or other criteria determined by us.

Commissions arise only from legitimate, completed, and approved transactions.

Commissions shown in the system as "pending" are provisional and do not guarantee payment to the affiliate. Pending commissions may later be approved or denied in cases including order cancellations, refunds, fraud, chargebacks, transaction irregularities, or other circumstances provided for in these Terms or in OVERcoat JAPAN policies.

As a general rule, it may take up to 8 business days from the order date for the commission for each transaction to be reflected in the system as "approved" or "denied." This is based on OVERcoat JAPAN's internal order analysis and internal standards.

No commission will be paid in the following cases:

  • canceled orders
  • refunded orders
  • chargebacks
  • fraudulent transactions
  • duplicate referrals or referrals with disputed attribution
  • purchases made by the affiliate themself
  • wholesale orders, purchases at wholesale pricing, orders related to special commercial terms for resellers, distributors, or retailers, or any transaction classified by OVERcoat JAPAN as a wholesale sale
  • orders that violate these Terms or our policies

OVERcoat JAPAN reserves the right to review, hold, deny, adjust, or cancel any commission deemed suspicious, abusive, deceptive, fraudulent, or in violation of these Terms, our internal policies, or the rules applicable to the affiliate program.

4. Payment and Access to Program Information
To receive commissions, the affiliate must provide accurate, complete, and up-to-date payment information in the affiliate account settings.

At present, commissions are paid only by bank transfer to the bank account registered by the affiliate in the system.

Payments are made only for commissions with "approved" status. Commissions with "pending," "denied," "canceled," or any status other than "approved" are not eligible for payment.

All commissions approved within each calendar month will be calculated and finalized by the end of that month. Payment of those commissions will be made on the 15th of the following month.

If the total approved commissions for the period are less than ¥5,000, that amount will not be paid in that cycle and will automatically roll over to the next period until the eligible balance reaches or exceeds ¥5,000.

If the affiliate's bank information is incomplete, inaccurate, missing, or cannot be verified, payment may be held or delayed until the issue is properly resolved.

Bank fees, remittance costs, currency conversion fees, or similar charges related to the amount received may be borne by the affiliate, depending on the applicable bank, country, currency, or operating method.

OVERcoat JAPAN may, at its sole discretion, grant bonuses, incentives, or additional rewards to affiliates with strong sales performance. Such bonuses are not automatic and are not guaranteed, and may vary depending on campaign, sales volume, promotional period, or other criteria determined by us. When applicable, the affiliate will be notified through the program dashboard, email, or official communications from OVERcoat JAPAN.

When available in the system, the affiliate may use the program dashboard to check links, performance, recorded commissions, and the general status of approvals and payments.

The affiliate dashboard is provided through the UpPromote platform. Depending on the platform settings and options, the affiliate may be able to change the dashboard language. However, some fields, menus, pages, automated messages, or system elements may appear in English or follow the platform's original default settings.

OVERcoat JAPAN reserves the right, at its sole discretion, to define, change, suspend, or update payment deadlines, operating procedures, approval standards, minimum payout thresholds, and other rules related to commission processing through updates to these Terms, the affiliate dashboard, or official communications.

5. Tracking and Cookies
Our Affiliate Program uses tracking technologies, including cookies, to attribute referrals.

The cookie duration applicable to the program is 30 days.

The tracking period begins when a customer clicks your affiliate link. In limited cases, where an authorized coupon is used in campaigns approved by OVERcoat JAPAN, tracking may also apply in accordance with our system settings.

If the customer disables cookies, deletes cookies, changes device, uses browser privacy settings, or otherwise interrupts tracking, it may not be possible to correctly attribute the referral. In such cases, OVERcoat JAPAN will not be responsible for lost commissions.

Commission attribution is based solely on the data recorded by our tracking system.

6. Campaign Guidelines, Support, and Creative Freedom
OVERcoat JAPAN may, at its sole discretion, define campaigns, priority products, communication themes, key messages, support materials, promotional periods, and specific guidelines for affiliates.

This may include, for example, requesting that affiliates create content focused on specific products, specific collections, new product launches, seasonal campaigns, or other promotional activities defined by OVERcoat JAPAN during certain periods.

Whenever possible, OVERcoat JAPAN will provide guidance, briefings, materials, or important information necessary for the implementation of such campaigns with reasonable advance notice.

By participating in the program, the affiliate agrees to follow, where applicable, the instructions, briefings, communication guidelines, and campaign guidance provided by OVERcoat JAPAN.

At the same time, unless OVERcoat JAPAN requires a specific format for a specific action, the affiliate may develop content in their own style, language, format, and creative approach, as long as they comply with brand guidelines, campaign instructions, and approved product information.

Where specific guidelines are in force for a particular campaign, the affiliate must not create, publish, or distribute promotional content that conflicts with OVERcoat JAPAN's instructions.

7. Content Review, Correction, and Removal
OVERcoat JAPAN reserves the right to review, pre-approve, request adjustments to, restrict, suspend, or require the removal of promotional content created by the affiliate in connection with the program.

Except in serious, urgent, fraudulent, potentially unlawful cases, or cases that may cause immediate harm to the brand or consumers, OVERcoat JAPAN may first request correction or adjustment of the content before applying suspension or termination of participation in the program.

The affiliate agrees to implement any corrections, changes, or removals required by OVERcoat JAPAN within the notified deadline.

If OVERcoat JAPAN identifies content that is inaccurate, misleading, outside the guidelines, inconsistent with the brand, legally sensitive, or contrary to these rules, it may order immediate correction or removal.

Failure to comply with these requests may result in affiliate suspension, cancellation of pending commissions, or termination of participation in the program.

8. Content Rules and Permitted Claims
You agree to promote OVERcoat JAPAN honestly, accurately, and in line with the brand's guidelines.

The following actions are prohibited:

  • false, exaggerated, unsubstantiated, or misleading claims about products
  • guaranteed results
  • attributing features, benefits, certifications, or approvals that have not been officially communicated by OVERcoat JAPAN
  • misleading comparisons with competitors
  • publishing prices, promotions, campaigns, or conditions that have not been officially approved
  • publishing unapproved coupons or leading customers to believe that discounts exist when they have not been approved by OVERcoat JAPAN

If OVERcoat JAPAN provides materials, descriptions, technical guidance, sales arguments, or approved claims, the affiliate must limit their communications to that information or to other information expressly approved in writing.

9. Disclosure of Affiliate Relationship and Legal Compliance
The affiliate is solely responsible for ensuring that their promotional activities comply with all laws, regulations, platform rules, and advertising guidelines applicable in the country and region where they operate.

Where required by laws, regulations, or platform rules, the affiliate must clearly disclose, in a visible and appropriate manner, that their content has an advertising, promotional, or affiliate nature related to OVERcoat JAPAN.

OVERcoat JAPAN may instruct the minimum disclosure format the affiliate must use, and the affiliate agrees to follow such instructions.

OVERcoat JAPAN is not responsible for any violations of laws, regulations, or platform policies committed by the affiliate.

10. Permitted and Prohibited Promotion Methods
The affiliate may promote OVERcoat JAPAN through lawful and appropriate means, including websites, blogs, social media, and other approved content platforms.

The following actions are prohibited:

  • purchasing through one's own affiliate link
  • encouraging friends, family, or third parties to place orders primarily for the purpose of generating commissions
  • presenting oneself as an official representative, employee, or agent of OVERcoat JAPAN
  • engaging in spam, unsolicited messages, abusive automation, or unauthorized mass distribution
  • advertising in paid media using our brand name, registered trademarks, or similar keywords without prior written permission
  • copying, imitating, or impersonating our website, social media accounts, or brand identity
  • using unlawful, misleading, defamatory, offensive, or otherwise inappropriate content in connection with the program
  • engaging in fraud, commission manipulation, cookie stuffing, fake leads, or any other abuse of the program
  • using the Affiliate Program directly or indirectly as a means of acquiring products for commercial resale

Participation in the Affiliate Program does not grant the affiliate any right to resale, distribution, commercial representation, or use of the program as a purchase channel for resale purposes. The rules set out in OVERcoat JAPAN's Sales and Resale Policy will continue to apply where relevant.

11. Intellectual Property and Brand Use
All trademarks, logos, brand names, product names, images, videos, marketing materials, texts, and other assets provided by OVERcoat JAPAN are our exclusive property.

Participation in the program does not grant the affiliate any ownership rights in our intellectual property.

The affiliate may use approved assets only for the limited purpose of promoting OVERcoat JAPAN within this program and only in accordance with our instructions. We may revoke this permission at any time.

12. Program Termination and Affiliate Withdrawal
The affiliate may request withdrawal from the Affiliate Program at any time by contacting info@overcoat.jp by email.

We reserve the right, at our sole discretion, with or without notice, to suspend, restrict, or terminate the affiliate's participation in the program at any time.

Reasons for termination may include:

  • violation of these Terms
  • fraudulent or abusive activity
  • misuse of brand assets
  • misleading promotion
  • failure to follow campaign instructions
  • refusal to correct or remove content
  • inactivity
  • conduct that may cause damage to OVERcoat JAPAN or its customers

If the affiliate account is terminated due to violation of these Terms, pending commissions may be canceled.

13. Changes to the Program and Terms
OVERcoat JAPAN reserves the right, at any time and at its sole discretion, to modify, suspend, or terminate the Affiliate Program and these Terms of Use.

Whenever possible, important changes will be communicated with reasonable advance notice through the website, the affiliate dashboard, or other official communication channels.

Where necessary for fraud prevention, abuse prevention, legal risk, legal requirements, operational safety, or brand protection, immediate changes may be applied without prior notice.

Remaining in the program after such changes will be deemed acceptance of the revised terms.

14. Limitation of Liability
To the maximum extent permitted by applicable law, OVERcoat JAPAN will not be liable for indirect, incidental, special, consequential, or punitive damages arising out of or related to the Affiliate Program.

We do not guarantee uninterrupted access to the program, absolute tracking accuracy in all situations, or any minimum amount of earnings.

15. Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of Japan.

Any dispute related to these Terms or the Affiliate Program shall be submitted to the Nagoya District Court as the exclusive court of first instance.

16. Nature of the Relationship
Participation in the Affiliate Program does not create, and shall not be interpreted as creating, any employment relationship, commercial agency relationship, agency relationship, partnership, joint venture, or any other labor or business relationship between the affiliate and OVERcoat JAPAN.

The affiliate shall act independently and under their own responsibility, without being subject to direction, exclusivity requirements, or working-hour control by OVERcoat JAPAN.

Nothing in these Terms means that OVERcoat JAPAN assumes any labor, social insurance, or tax obligations toward the affiliate.

17. General Provisions
These Terms constitute the entire agreement between the affiliate and OVERcoat JAPAN regarding participation in the Affiliate Program and supersede any prior understandings, communications, or agreements related to the program.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain fully valid and in effect.
