RESELLER PROGRAM

The RESELLER PROGRAM is designed for businesses that wish to carry OVERcoat products as authorized resellers, with a primary focus on in-store sales. It was created for businesses across different industries that operate a physical store and understand our sales policy and brand positioning. Once accepted, the business will be able to sell OVERcoat products as an authorized reseller, within the conditions and sales channels permitted under the program.

The program rules are listed below. If you agree with the terms, please proceed by completing the application form. After submission, we will review the information provided and contact you by email, usually within 1 week, with the result and the next steps. If approved, we will also send a quotation and payment instructions. Participation becomes effective after payment has been confirmed.

1. Program purpose
The RESELLER PROGRAM is intended for businesses that wish to sell OVERcoat products as authorized resellers under appropriate sales rules.
The purpose of this program is to allow OVERcoat products to be sold by authorized resellers while protecting the brand value and commercial policy of OVERcoat.

2. Eligibility
This program is limited to businesses that operate a physical store.
The type of business does not matter, but an active physical store is required.
Businesses without a physical store, individuals, or businesses focused solely on online sales are not eligible.

3. Permitted sales channels
Approved resellers may sell products through their physical store.
Online sales are permitted only through the reseller’s own official website using the reseller’s own domain.
However, sales must be limited to the country in which the reseller is located.
International sales, exports, and overseas sales are not permitted.

4. Prohibited sales methods
The following sales methods are prohibited:

• Sales on marketplaces such as Amazon, Rakuten, Yahoo Shopping, Shopee, and similar platforms
• Sales on resale apps or auction sites
• Sales through social media
• Listings on third-party websites
• Online sales through any channel other than the reseller’s own domain
• International sales, exports, or overseas sales
• Overseas sales using forwarding services

5. Minimum order requirement
Orders are accepted only in sealed cases containing 34 units.
Each case contains 34 units.
Orders for fewer than 34 units are not accepted.
If the reseller wishes to purchase more than 34 units, the order must be placed in 2 cases, 3 cases, and so on.

6. Confirmation upon application
By submitting the application form, the applicant is deemed to have read, understood, and agreed to all terms of this program, including the sales rules, prohibitions, review process, and order conditions.

7. Application details
In the application form, the applicant must provide the information necessary for review, such as business details and sales format.
The selection of products and the final order details will only be determined after the application has been approved.

8. Application review
After receiving the application, OVERcoat will review the submitted information, usually within 1 week.
At the end of the review, the applicant will be notified by email whether the application has been approved or not approved.
The review criteria and detailed reasons for the decision will not be disclosed individually.

9. Process after approval
If the application is approved, OVERcoat will send by email a list of the products currently available, together with their respective prices.
After reviewing this information, the applicant must inform us which products they wish to order and in what quantities.
Based on that response, OVERcoat will prepare a quotation and send it by email.
If the applicant agrees with the contents and the quoted amount, they may proceed with payment according to the instructions provided by OVERcoat.
After payment has been confirmed, the terms and conditions of the RESELLER PROGRAM will become effective.

10. If not approved
If the application is not approved, the applicant will receive an email notification stating that the application was not approved.
In such case, no authorized reseller registration will be granted and no resale rights will be given.

11. No sales before approval
Before the application is approved and payment has been confirmed, it is not permitted to advertise, offer, accept reservations for, list, or sell OVERcoat products as a reseller.

12. Action in case of violation
In the event of a violation of these terms, OVERcoat may, without prior notice, suspend or cancel the reseller’s qualification and discontinue future business dealings.
In particular, unauthorized online sales, sales on marketplaces, or overseas sales will be handled strictly.

13. Changes to the terms
OVERcoat may, for operational, commercial, legal, or other reasons, review, update, amend, temporarily suspend, or terminate the RESELLER PROGRAM at any time, including its rules, conditions, and sales policies.
If changes are made, OVERcoat may notify participants by email, through the official website, or through other official channels.
